Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”) and Equity For The Win LLC (“EquityFTW,” “we,” “us,” or “our”) governing your access to and use of EquityFTW.com, including all content, functionality, and services offered on or through the website (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site immediately.

We reserve the right to modify these Terms at any time. When changes are made, the “Updated” date above will be revised. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

The Site is intended for use by individuals who are at least 18 years old.

WE DO NOT GUARANTEE THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUITYFTW AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED $100.

Indemnification

You agree to defend, indemnify, and hold harmless EquityFTW and its affiliates, members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your violation of these Terms, your violation of applicable law, or your violation of the rights of any third party.

Governing Law and Venue

These Terms and your use of the Site are governed by the laws of the State of California, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the jurisdiction and venue of such courts.

Miscellaneous

These Terms, together with any policies posted on the Site (including the Privacy Policy), constitute the entire agreement between you and us regarding the Site.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any provision shall not constitute a waiver of that provision.
